A Stripe Atlas Alternative When New Mexico Is Your State
Atlas works in Delaware only. For a New Mexico LLC, our package is $399 plus the $50 state fee with a first-year registered agent, then $99/yr.
- check_circle New Mexico LLC, filed online
- check_circle Year-one registered agent
- check_circle EIN with no SSN
- check_circle Bank application ready when you sign
Plus New Mexico's $50 fee; checkout shows the exact total. $99/yr agent renewal from year two.
Stripe Atlas forms companies in exactly one state, Delaware. If you've settled on New Mexico, Atlas can't file for you, so the real choice is between two states as much as two services. Below is what each option gives a founder living outside the US. The New Mexico package on this page is ours, so weigh our view with that in mind.
Where Stripe Atlas is strong
- Startup paperwork. Atlas files the 83(b) election, issues equity, handles SAFEs, and uses documents drafted with Cooley.
- A single number. The $500 covers Delaware's filing fee and the first year of registered agent service.
- Perks. $2,500 of Stripe credits plus partner deals Stripe values at roughly $50,000.
- A fee you can earn back. Deposit $5,000 into Stripe Treasury and Stripe refunds the $500.
- Speed. Next-day expedited filing in Delaware.
If you plan to raise from US investors, that combination is difficult to beat.

New Mexico costs, year one to year three
| Stripe Atlas (Delaware) | Our package (New Mexico) | |
|---|---|---|
| Year one | $500, or nothing net after the Treasury refund | $449 ($399 + $50) |
| Years two and three | $100 each, plus Delaware's flat LLC tax | $99 each |
| Yearly state report | Delaware LLCs pay a flat tax instead of filing one | None for New Mexico LLCs |
Before any refund, we're $51 cheaper in year one. If you'd park $5,000 in Stripe Treasury anyway, Atlas wins that year outright. Over time the bigger gap comes from the state itself.
What's different with us
It's a New Mexico LLC. Filing the Articles costs $50 (NMSA § 53-19-63(A)), everything is submitted online, and the LLC Act has no periodic report. That's a statement of state rules, not tax advice.
Banking goes a different way. Rather than a Stripe product, our route is setting up your bank account with our partners. We fill in the application from what you told us at checkout and attach your certificate of organization, so it's complete once your SS-4 is signed. Say yes and we submit it while the IRS works on your EIN. Our partners make the decision, and we can't guarantee approval.
The EIN route is written down. Owners with no SSN can't use the IRS online form, so our team fills in Form SS-4, collects your digital signature, and faxes it over. The IRS usually answers in two to eight weeks.
A $99 renewal. Registered agent service is all that recurs, and it can be cancelled whenever you like.
When Atlas makes more sense
- You're building a Delaware C-corp to raise venture money.
- You need 83(b) elections, stock issuance, or SAFEs from day one.
- You already take payments through Stripe and would keep $5,000 in Treasury.
- Your investors or lawyers have asked for Delaware specifically.
If none of those apply and New Mexico is the state you want, that's what our package is built for.
Your obligations in New Mexico
Once formed, a New Mexico LLC has one standing duty to the Secretary of State: keep a registered agent and office on file. No annual or biennial report follows. Taxes run on their own track, with gross receipts tax registration handled by the Taxation and Revenue Department where it applies, and federal filings such as Form 5472 and its pro forma 1120 often due for foreign-owned single-member LLCs. Neither Atlas nor we prepare tax returns.

FAQ
Can Stripe Atlas form a New Mexico LLC?
No. Atlas forms Delaware LLCs and C-corps and nothing else. If you want New Mexico, you need a provider that files there, and the useful question becomes which state suits your company.
How do the first-year prices compare?
Atlas is $500, covering Delaware's filing fee and a year of registered agent service. Our New Mexico package is $399 plus the $50 state fee, $449 in total, also with a year of agent service.
What about the years after that?
Atlas renews its agent at $100 a year, and Delaware separately charges LLCs a flat annual tax that the Atlas page doesn't mention. Our agent renews at $99, and New Mexico LLCs file no annual report.
Is Atlas better for raising venture capital?
Yes. If investors expect a Delaware C-corp, Atlas's 83(b) filing, SAFEs, equity tools, and Cooley-drafted documents are built for that. Our package forms New Mexico LLCs only.
Which one helps with a bank account?
Atlas connects you to Stripe Treasury and refunds its fee after a $5,000 deposit. Our team drafts an application for our partners; it's complete the day your SS-4 is signed and leaves when you approve it. Neither provider can guarantee an account.
